Subject Matter and Duration<\/h2><p>The Data Processor shall process personal data solely for the purpose of providing services on the Verbaspark platform (<a href=\"https:\/\/verbaspark.com\/hr\">verbaspark.com<\/a>). This Agreement shall remain in force for as long as the Data Processor processes personal data on behalf of the Data Controller.<\/p><p>\u00a0<\/p><hr \/><h2>2. Nature and Purpose of Processing<\/h2><p>The Data Processor will process personal data to enable:<\/p><ul><li><p>Creation and management of digital business cards, CVs, portfolios, products, and bookings<\/p><\/li><li><p>Secure account access and user authentication<\/p><\/li><li><p>Communication with users and visitors<\/p><\/li><li><p>Analytics and performance monitoring<\/p><\/li><li><p>E-commerce features including sales, payments (via Stripe), and invoicing<\/p><\/li><\/ul><p>The Data Processor shall not process personal data for any other purpose unless explicitly instructed by the Data Controller in writing.<\/p><p>\u00a0<\/p><hr \/><h2>3. Types of Personal Data<\/h2><p>The types of personal data processed include, but are not limited to:<\/p><ul><li><p>Name, surname<\/p><\/li><li><p>Contact information (email, phone number, address)<\/p><\/li><li><p>Profile image and biography<\/p><\/li><li><p>Work experience and education details<\/p><\/li><li><p>Uploaded media files (e.g., images, videos, documents)<\/p><\/li><li><p>Payment-related data (processed by third parties such as Stripe)<\/p><\/li><li><p>\u00a0<\/p><\/li><\/ul><hr \/><h2>4. Categories of Data Subjects<\/h2><p>The data subjects include:<\/p><ul><li><p>Registered users (individuals or businesses)<\/p><\/li><li><p>Visitors to published digital cards, CVs, and public profiles<\/p><\/li><li><p>Customers engaging in sales transactions via the platform<\/p><\/li><\/ul><p>\u00a0<\/p><hr \/><h2>5. Obligations of the Data Processor<\/h2><p>The Data Processor agrees to:<\/p><ul><li><p>Process data solely based on documented instructions from the Data Controller<\/p><\/li><li><p>Ensure confidentiality of all personal data processed<\/p><\/li><li><p>Implement appropriate <strong>technical and organizational measures<\/strong> to ensure data security<\/p><\/li><li><p>Provide assistance to the Data Controller in fulfilling data subject rights (access, erasure, rectification, etc.)<\/p><\/li><li><p>Notify the Data Controller without undue delay in the event of a personal data breach<\/p><\/li><li><p>Maintain a record of processing activities as required under Article 30(2) GDPR<\/p><\/li><li><p>Allow for and contribute to audits and inspections, conducted by the Data Controller or a designated auditor, upon reasonable notice<\/p><\/li><li><p>\u00a0<\/p><\/li><\/ul><hr \/><h2>6. Subprocessors<\/h2><p>The Data Controller authorizes the use of the following <strong>subprocessors<\/strong>:<\/p><ul><li><p><strong>Stripe, Inc.<\/strong> \u2013 for payment processing<\/p><\/li><li><p><strong>Amazon Web Services (AWS)<\/strong> \u2013 for secure cloud hosting<\/p><\/li><li><p><strong>Google Analytics<\/strong> \u2013 for site performance analysis<\/p><\/li><li><p><strong>Mailgun Technologies<\/strong> \u2013 for email delivery<\/p><\/li><\/ul><p>All subprocessors shall be bound by the same data protection obligations as set out in this Agreement. The Data Processor shall remain fully liable for the performance of its subprocessors.<\/p><p>\u00a0<\/p><hr \/><h2>7. International Transfers<\/h2><p>Where personal data is transferred outside the European Economic Area (EEA), the Data Processor shall ensure that such transfers comply with Chapter V of the GDPR. Adequate safeguards such as <strong>Standard Contractual Clauses (SCCs)<\/strong> shall be used when required.<\/p><p>\u00a0<\/p><hr \/><h2>8. Return or Deletion of Data<\/h2><p>Upon termination of services or upon the Data Controller\u2019s request, the Data Processor shall delete or return all personal data unless otherwise required to retain it under applicable law.<\/p><p>\u00a0<\/p><hr \/><h2>9. Data Breach Notification<\/h2><p>In the event of a <strong>personal data breach<\/strong>, the Data Processor shall notify the Data Controller <strong>without undue delay<\/strong> and provide all necessary information regarding the breach, including mitigation measures and possible consequences.<\/p><p>\u00a0<\/p><hr \/><h2>10. Liability and Indemnity<\/h2><p>Each party shall be liable for the damages caused by its breach of this Agreement and\/or the GDPR. The Data Processor shall indemnify the Data Controller against any losses, claims, or penalties resulting from its failure to comply with its obligations.<\/p><p>\u00a0<\/p><hr \/><h2>11. Governing Law and Jurisdiction<\/h2><p>This Agreement shall be governed by the laws of the United States of America (Wyoming), without prejudice to the mandatory consumer protection laws in the EU where applicable.
